01Who we are and what these terms cover
Zaur Partners (“Zaur”, “we”, “us”) is an Australian business based in Melbourne, Victoria, with offices in Queensland and Indonesia. We design, build, host and look after custom software for businesses, and charge for it as a monthly subscription.
These terms apply to anyone who uses our website, makes an enquiry, or subscribes to software we build and host (“you”, “the client”). When you accept an Order (see section 04), these terms and that Order together form the agreement between us. If the Order says something different to these terms, the Order wins for that project.
If you’re agreeing on behalf of a business, you confirm you’re authorised to do so.
02Definitions
aPlatform — the software, code, designs, infrastructure, integrations, AI models and configurations we build, run and improve, including any part first built for you.
bYour Solution — the specific configuration of the Platform we set up and host for you, as described in your Order.
cOrder — the written proposal or scope we send you that sets out what we’ll build, the monthly fee, and anything specific to your project. It may be a document, an email, or an accepted enquiry.
dClient Data — the information you and your team put into Your Solution, or that it collects on your behalf: your customers, jobs, calls, records, documents and the like.
eGo-live — the date we tell you Your Solution is working and ready for everyday use, and you start using it that way (or 14 days after we tell you, if you haven’t raised a problem).
fMonthly Fee — the subscription amount set in your Order, as adjusted under section 06.
03How the service works
The model is simple. We build the software, we host it, we keep it secure and up to date, and we keep improving it. You pay one Monthly Fee for all of that while you use it. There is no upfront build cost and no separate charge for hosting, updates or ongoing care unless your Order specifically says so.
Because we own and run the Platform (section 08), we can keep the fee low and the risk off your books. Improvements we make for other clients on the same Platform generally reach you too, at no extra cost.
04Getting started: your brief and your Order
It starts with a conversation. You tell us about your business and what’s slowing you down — through our enquiry form, a call, or in writing. We then send you an Order setting out what we propose to build, how it will work, what it depends on from your side, and the Monthly Fee.
Nothing is binding until you accept the Order in writing (an email saying “go ahead” is enough). Until then, either of us can walk away with nothing owed.
We may decline to take on work, and we may ask for reasonable information or access before we start.
05The build phase
Once you accept an Order, we build Your Solution. During the build:
aWe’ll check in with you, show you progress, and ask questions. You agree to respond within a reasonable time and give us the access, information and decisions we need. If you don’t, timelines move.
bTimeframes in an Order are good-faith estimates, not guarantees. Software is built in the real world and we’ll tell you promptly if something changes.
cYou don’t pay the Monthly Fee during the build. It starts at Go-live.
dIf you cancel during the build, you owe nothing for the build itself. We keep everything we’ve built (section 08).
eIf the scope changes materially from the Order, we’ll agree the change and any effect on the Monthly Fee in writing before doing the extra work.
06Your monthly fee
aHow it’s set. The Monthly Fee is agreed in your Order before we build. It’s sized to how much you’ll use Your Solution and the results it’s expected to deliver — the size of your team, the volume it handles, the integrations it needs and the time it saves or value it creates.
bWhen it starts. From Go-live. Your first invoice covers the period from Go-live to the end of that month, then monthly.
cHow it changes. The fee is fixed for 12 months from Go-live. After that we review it against your actual usage and results, and may adjust it up or down. We’ll give you at least 30 days’ written notice of any change, and you can cancel under section 07 if you don’t accept it.
dInvoicing and payment. We invoice monthly in advance. Invoices are due 14 days from the invoice date, by bank transfer or the payment method in your Order.
eGST. Fees are in Australian dollars and exclude GST unless stated. GST is added where it applies.
fLate payment. If an invoice is more than 14 days overdue, we’ll remind you. If it’s more than 30 days overdue we may suspend access to Your Solution (section 17) until it’s paid. We don’t charge interest, but we may recover reasonable costs of chasing a debt.
gWhat’s included. Hosting, security updates, monitoring, bug fixes, reasonable support (section 10) and the ongoing improvements we choose to make. Not included: work outside the Order’s scope, third-party costs that your Order says you pay directly, or hardware.
07Term, cancellation and what happens after
aMonth to month. Your subscription runs month to month from Go-live. There is no minimum term and no lock-in.
bCancelling. Either of us can end the subscription by giving the other at least 30 days’ written notice. You pay the Monthly Fee up to the end of the notice period, and nothing after.
cAfter it ends. Your access to Your Solution stops at the end of the notice period. For 30 days after that, you can ask us for an export of your Client Data in a common, machine-readable format (such as CSV or JSON), which we’ll provide at no charge. After that we may delete it, subject to our backup cycles and any legal retention requirements.
dNo refunds for part months, except where the law requires it or we’ve ended the subscription without you being at fault.
08Who owns what
aWe own the Platform. Zaur owns all intellectual property in the Platform and Your Solution — the code, designs, workflows, prompts, models, integrations and improvements — including anything we build specifically for you and anything built from your feedback or ideas. This is what makes the no-upfront-cost model possible.
bYou own your data. Client Data is yours. We don’t claim any ownership of it. You give us a licence to store, process and use it only to provide and improve Your Solution for you, and as set out in section 09.
cYour licence to use it. While your subscription is active, you have a non-exclusive, non-transferable right for your business and your staff to use Your Solution for your internal business purposes.
dReuse. We may reuse the Platform, and anything we’ve learnt building it, for other clients — including competitors. We will never share your Client Data, your confidential information, or anything that identifies your business when we do.
eYour brand. Your name, logo and content stay yours. You give us permission to use them within Your Solution. We may name you as a client and describe what we built, in general terms, unless you tell us in writing not to.
fWhat you can’t do. Copy, resell, sublicense, reverse engineer or try to extract the source code of the Platform; or build a competing product using it.
09Your data, privacy and hosting
aWhere it lives. For Australian clients, Client Data is hosted and stored on servers located in Australia. For clients served from our Indonesian office, the hosting location is stated in the Order. Some third-party services (section 12) may process limited data outside Australia to do their job — for example, an AI or telephony provider. Your Order will say which.
bPrivacy. We handle personal information in line with the Australian Privacy Act 1988 and our Privacy Policy. Where Your Solution collects personal information from your customers or staff, you are responsible for having the right to collect it and for telling those people what you do with it. We act on your instructions.
cSecurity. We use reasonable, industry-standard measures to protect Client Data: encryption in transit and at rest, access controls, logging and regular backups. No system is perfectly secure, and you agree to use strong passwords, keep logins private and tell us promptly if you suspect a breach.
dIf something goes wrong. If we become aware of a data breach affecting your Client Data, we’ll tell you without undue delay and work with you on the response, including any notifications the law requires.
eImproving the service. We may use aggregated, de-identified information about how Your Solution is used to improve the Platform. This never includes anything that identifies you, your staff or your customers.
10Support, availability and maintenance
aSupport. We provide support by email and phone, Monday to Friday, 9am to 5pm Melbourne time, excluding public holidays. We aim to respond within one business day and to prioritise anything that stops you working.
bAvailability. We work hard to keep Your Solution up and running, but we don’t guarantee uninterrupted or error-free operation. Things we don’t control — internet outages, third-party services, your own devices and networks — can affect it.
cMaintenance. We may take Your Solution offline for planned maintenance. We’ll do this outside your normal hours where we can, and give you notice where it’s practical.
dFixes and improvements. We fix bugs in Your Solution as part of the Monthly Fee. We decide what improvements to make and when, taking your feedback seriously but not promising any particular feature unless it’s in your Order.
11AI features
Many of our solutions use artificial intelligence — to answer calls, read documents, mark work, summarise data or make recommendations. AI is useful and it is also imperfect.
aAI outputs can be wrong, incomplete or inconsistent. They are an aid to your judgement, not a replacement for it. You’re responsible for decisions made using them, and for keeping a human in the loop where the consequences of a mistake are serious.
bWhere an AI feature interacts with your customers (for example, a phone assistant), you’re responsible for making sure that’s lawful and appropriate in your industry, and for any disclosures you need to make.
cWe don’t use your Client Data to train AI models that serve other clients, unless you agree to it in writing.
12Third-party services
Your Solution may rely on services we don’t own — cloud hosting, telephony, AI model providers, accounting or CRM integrations, map and messaging services. We choose them carefully, but their availability, pricing and terms are theirs, not ours. If a third-party service changes or stops in a way that affects Your Solution, we’ll work with you on a fix or an alternative, and we may need to adjust the Order. Where your Order says a third-party cost is passed through to you, we’ll bill it at cost.
13Acceptable use
You agree not to use Your Solution to break the law, infringe anyone’s rights, send spam, store or distribute harmful content or malware, or interfere with the Platform or other clients. You’re responsible for everyone who uses Your Solution under your account.
14Changes to the service or these terms
The Platform evolves. We may change how Your Solution looks or works, as long as it still does substantially what your Order describes. We may also update these terms. If a change to the terms is material and affects you, we’ll give you at least 30 days’ notice by email, and you can cancel under section 07 if you don’t accept it. Continuing to use Your Solution after the notice period means you accept the updated terms.
15Confidentiality
Each of us will keep the other’s confidential information confidential, use it only for the purposes of this agreement, and protect it with reasonable care. This doesn’t apply to information that’s public, already known, independently developed, or required to be disclosed by law. This obligation survives the end of the agreement.
16Warranties, liability and the Australian Consumer Law
aConsumer guarantees. Our services come with guarantees that cannot be excluded under the Australian Consumer Law. Nothing in these terms limits those guarantees. Where the law lets us, our liability for breaching them is limited to supplying the service again or paying the cost of having it supplied again.
bOur promises. We promise to provide Your Solution with reasonable care and skill, substantially as described in your Order. Beyond that, and beyond what the law requires, the service is provided as is.
cCap. To the extent the law allows, our total liability to you under or in connection with this agreement, in any 12-month period, is limited to the Monthly Fees you paid us in that period.
dExcluded loss. To the extent the law allows, neither of us is liable to the other for indirect or consequential loss, or for loss of profit, revenue, business, data or goodwill, however it arises.
eYour responsibility. You’re responsible for the Client Data and content you put into Your Solution, for how you and your team use it, and for any claim that arises from that. You’ll cover us for any loss we suffer because of it.
17Suspension and ending for breach
We may suspend access to Your Solution if an invoice is more than 30 days overdue, if we reasonably believe there’s a security risk or unlawful use, or if we’re required to by law. We’ll tell you why and restore access once the issue is resolved. Either of us may end the agreement immediately by written notice if the other seriously breaches it and doesn’t fix the breach within 14 days of being asked, or becomes insolvent. Section 07(c) applies to your data after any ending.
18Disputes
If there’s a problem, talk to us first — most things are sorted with a phone call. If we can’t resolve it between us within 30 days, either of us may refer it to mediation in Melbourne before starting court proceedings, unless urgent relief is needed. Nothing stops either of us from recovering an undisputed debt.
19General
aGoverning law. These terms are governed by the laws of Victoria, Australia, and both of us submit to the courts there.
bWhole agreement. These terms and your Order are the whole agreement between us about Your Solution, and replace earlier discussions.
cAssignment. You can’t transfer this agreement without our written consent. We may transfer it to a related entity or a buyer of our business, and will tell you if we do.
dNotices. Formal notices go by email to the addresses in your Order (or the contact below for us), and are taken to be received the next business day.
eSeverability. If part of these terms can’t be enforced, the rest still applies.
fEvents beyond our control. Neither of us is responsible for delay or failure caused by something outside our reasonable control, as long as we take reasonable steps to deal with it.
gWebsite use. Our website and enquiry form are provided for information and to start a conversation. Nothing on the site is an offer or a quote until it’s in an Order.

Plain-English summary, not a substitute for the terms above: we build it and host it, you pay monthly, you can leave on 30 days’ notice, we own the software, you own your data, and your data stays in Australia.
